Terms and Conditions

These Terms and Conditions are a legally binding agreement between you (“the client”) and Piko Media (“Piko,” “we,” “us,” or “our”) governing your access to and use of pikomedia.com and any related media, documents, or services that link to these Terms (collectively, the “Site”).

By accessing the Site, you confirm that you have read, understood, and agreed to be bound by these terms.

We reserve the right to update these Terms at any time. When we do, we will update the “Last updated” date above.

The Site is intended for business users and visitors 18 years or older. By using the Site, you represent that:

• The information you provide is true, accurate, current, and complete.
• You have the legal capacity and authority to agree to these Terms.
• You will comply with applicable laws and these Terms.
• You will not use automated tools, scrapers, bots, scripts, or similar systems to access the Site, except for standard search-engine indexing.

Unless otherwise stated, the Site and all content on it, including text, designs, graphics, logos, videos, audio, data compilations, and software (collectively, “Content”), are owned by or licensed to Piko Media and are protected by applicable IP laws.

Our content cannot be copied, posted, uploaded, reproduced, republished, publicly displayed, translated, transmitted, distributed, or exploited without our prior written consent, except as permitted by mandatory law.

You agree not to:

• Use the Site for unlawful, infringing, misleading, harmful, or competitive purposes;
• Collect data or content to create a database without written permission;
• Circumvent security features or attempt to interfere with the Site’s operation;
• Upload malware or content that is illegal, defamatory, obscene, or violates third-party rights;
• Reverse engineer or attempt to extract source code;
• Frame, scrape, or mirror the Site without consent.

The website may contain links to third-party platforms or content. We do not control or endorse, and are not responsible for, third-party sites, content, policies, or practices.

Project work, if any, will be governed by a separate Statement of Work / Order (each, an “SOW”) agreed in writing. The SOW will specify scope, deliverables, timelines, acceptance criteria, and fees. If there is a conflict, the SOW governs the project; these Terms govern Site use.

Unless the SOW states that specific deliverables will be assigned, Piko Media retains all IP in deliverables and grants you a perpetual, non-exclusive, non-transferable license to use them for your internal business purposes. If an assignment is agreed, it is conditioned on full payment. Piko Media may retain and reuse general know-how, processes, and tools.

Each party may access confidential information of the other. The recipient will: (a) use it only to perform obligations or use the Site; (b) protect it with reasonable care; and (c) not disclose it to third parties except to personnel under similar obligations or as required by law. These obligations survive termination.

Our Privacy Policy explains how we collect and process personal data. Where we process personal data on your behalf under an SOW, the parties will execute any required data processing agreement. We comply with applicable data-protection laws to the extent required by our role.

The Site and any free resources are provided “as is.” For paid services under an SOW, Piko Media warrants it will perform with reasonable skill and care. To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law:

• Piko Media is not liable for indirect, incidental, special, consequential, exemplary, or lost profits/revenue/data damages arising from or related to the Site or services.
• Piko Media’s aggregate liability for all claims in any 12-month period will not exceed the amounts paid by you to Piko Media for the services giving rise to the claim in that period (or USD/EUR 1,000 for Site-only claims where no fees were paid), except for liability that cannot be limited by law.

You agree to defend, indemnify, and hold harmless Piko Media and its directors, employees, and agents from and against claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of your: (a) use of the Site; (b) breach of these Terms; (c) Contributions; or (d) violation of law or third-party rights.

These Terms apply while you use the Site. We may suspend or terminate access to the Site at any time, with or without notice, for any reason. Sections that by nature should survive (including IP, confidentiality, limitations, indemnity, and governing law) survive termination.

Neither party is liable for delays or failures caused by events beyond reasonable control (e.g., acts of God, war, government action, outages, natural disasters), provided reasonable efforts are used to mitigate the impact.

Governing Law: Romanian law.

Venue/Jurisdiction: Courts of Romania.

• Entire Agreement: These Terms (and any SOW/Order, plus the Privacy Policy) are the entire agreement for Site use and services referenced here.
• No Partnership: Nothing creates a partnership, agency, or employment relationship.
• Assignment: You may not assign or transfer your rights/obligations without our written consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
• Severability: If any provision is unenforceable, the remainder remains in effect; the provision will be replaced by one that best reflects the intent and is enforceable.
• Waiver: Failure to enforce any provision isn’t a waiver of the right to do so later.
• Notices: Send legal notices to [email protected] (and any address specified in an SOW). Notices are deemed received when delivered by email with confirmation, by courier upon delivery, or by registered post on the second business day after posting.
